Ethics refers to a situation when an individual knows the difference between right and wrong.  Ethical conflict arises when someone doesn't follow moral principles. It is like a clash between one's personal situation and that of the beliefs.

When a client comes to congratulate on the project accomplishment then it is not an ethical conflict. The main reason is that it the duty of the service provider to assist the client in whatever way it can. It is just like an obligation that the service provider has to do for client satisfaction. 

The best way to avoid ethical conflict would be not to accept any gift from the business partners. Even if the intention is right but the people inside the organization might perceive it the other way. The client has come to present the gift only to one person and this will create a negative perception among the team members who had worked on it. Another reason for not accepting the second option is primarily due to the fact the watch does not come under a nominal value gift. Hence, this raises a concern regarding the ethical conflict.
